One of the leading general commercial printers in North America, Consolidated Graphics unites many companies under one banner. The firm operates as a holding company for a plethora of printing subsidiaries, which exist as separate entities run by their own management teams. Operations include 70 printing businesses across the US, and in Canada and the Czech Republic, as well as a joint venture (51%-owned) in Japan. Consolidated Graphics prints products such as annual reports, brochures, catalogs, direct-mail pieces, and point-of-purchase displays, among other items. The firm also provides fulfillment and mailing services for printed materials, as well as digital asset management and online print procurement.
Subsidiaries receive perks by being part of Consolidated Graphics' large corporate structure. These include volume discounts on supplies and equipment, as well as centralized administrative functions (human resources, legal, treasury, tax, and risk management) to save costs. In addition, the company employs approximately 600 salespeople to help cross-sell products and services across its various businesses.
The company has operations in more than 25 US states, as well as in Canada (Toronto), the Czech Republic (Prague), and Japan (Gero). Approximately 95% of revenues come from US businesses.
Revenues remained flat while net income declined from $41.4 million in 2011 to $14.1 million in fiscal year 2012. The company sold less due to a challenging economy, and its expenses increased thanks to investments it made in technology. Consolidated Graphics also suffered from charges of $18.8 million related to employer pension plan withdrawals, and asset impairment charges of $2 million.
The company built its national presence in the market by purchasing medium-sized and large printing businesses that were well-managed and profitable. Its acquisition strategy allows it to have a presence in or near virtually every major US market. In 2011 Consolidated Graphics purchased The Jackson Group, based in Indiana; the company made the deal to increase its existing presence in the Indianapolis market. It also acquired The EGT Group, located in Detroit. The previous year it expanded through two acquisitions in Ohio (Modern International Graphics and Modern Logistics) and one North Carolina (Hickory Printing).
Chairman and CEO Joe Davis owns nearly 20% of Consolidated Graphics. – less
