Boston Acoustics, Inc. engineers, manufactures and markets audio systems for use in home audio and video entertainment systems, in original equipment manufacturer (OEM) and after-market automotive audio systems, and in multimedia computer environments. It also assembles finished products from manufactured and purchased subassemblies. Boston Acoustics' speakers are marketed nationwide through selected audio and audio-video specialty dealers and through distributors in foreign countries. On June 8, 2005, the Company entered into an agreement and plan of merger with D&M Holdings U.S., Inc. (D&M) and Allegro Acquisition Corp., a wholly owned subsidiary of D&M. The consummation of the merger is subject to shareholders approval.
