Financial Analyst, Mergers & Acquisitions

Job Objectives
Prepare various analyses to assist in the valuation, negotiation and decision-making functions of the M&A group at Brace Industrial Group (“Brace”).
Support Brace’s due diligence efforts around potential acquisition opportunities.
Analyze quantitative and qualitative information during due diligence to develop perspectives on the people and systems in place across acquisition targets.
Support Brace’s integration efforts following completion of due diligence and closing of a transaction.

Areas of Responsibility
Administers due diligence projects to identify accounting, business, and legal issues impacting the valuation. Ensures the assumptions in the final valuation model are in line with historical measures, incorporate all known risks and properly reflect the value of the target company. As part of this work, understands and evaluates the impact of a potential acquisition on Brace’s overall strategic plan/vision.
Administers key aspects of the due diligence process, including but not limited to Operations, Accounting/Tax, Insurance, Benefits and Legal. As part of this process, maintains inventory of information requests by area, negotiates access with the target company and provides direction to internal team/outside advisors based upon review of such information.
Serves as point of contact with the target company for Company representatives throughout due diligence process. Coordinates information needs and on-site visits and negotiates appropriate access to information and personnel during the due diligence process.
Collaborates with outside advisors to facilitate their efforts, when they are brought in to assist with Company acquisitions. Administers project scope and identified issues and ensures issues are properly considered in the valuation model and communicated to the team lead.
Quantifies issues uncovered during the due diligence process as they impact the target company valuation. Ensures potential financial adjustments are reflected into the valuation model prior to the final decision process.
To the extent possible, evaluates internal controls of newly acquired companies, identifying internal control risks that could impact the transaction post-close.
Identifies potential accounting issues that may impact Brace’s financial statements as part of financial due diligence. Creates and/or audits fund flow memorandum and working capital/closing adjustment made in accordance with the purchase agreement.
Identifies integration issues, and supports the Acquisition Integration team to facilitate a successful integration. Assists the Acquisition Integration team as needed to ensure the value from the acquisition that was anticipated after completion of due diligence is achieved.

Education and Experience
Qualified candidates must have relevant M&A experience having worked at an investment/merchant bank, private equity firm, or in a corporate role.
Working knowledge of business and financial analysis and modeling.
Experience generating and writing concise reports based on qualitative and quantitative data for presentation to senior management.
Bachelor degree in Accounting or Finance; MBA or Investment Banking experience preferred.
2-3 years of M&A Experience
