On October 20, 1998, the Company and Rubbermaid Incorporated entered into an Agreement and Plan of Merger, providing for the merger of a subsidiary of the Company into Rubbermaid, leaving Rubbermaid a wholly owned subsidiary of Newell (Proposed Merger). After the Proposed Merger, the Company will be re-named Newell Rubbermaid Inc.
