In addition to formally setting up your company (getting licenses and stuff) you need connections with businesses that need positions filled and a source of resumes so you can fill them.

Of course you may choose to also have an office but thats really optional as you can do your job over the internet and by phone and if you must interview candidates you can do it at a coffeeshop or something (which is common in many industries to have lunch interviews).

Then from there just grow your business as you like.

I have worked in the business and know I need licenses but I am concerned as far as the legal aspect of it all. Any ideas?
