There are corporate paralegal positions available in metropolian areas (i.e., NYC, Boston, Dallas). Lately, I'm seeing ads requiring candidates have contracts and SEC experience in addition to general corporate housekeeping. |

"Corporate paralegal" can mean anything the company wants it to mean. However, the term usually refers to corporate governance, e.g., entity formation, board of directors meeting and minutes preparation, preparation of corporate resolutions and, in some cases, entity database management. Stock plan management can also be included (if not a part of HR - Compensation and Benefits group). SEC and proxy statement experience can also form part of the corporate paralegal's background. Experience with corporate transactions can also be required. It all depends on the company. |
