Provide support functions for all Board of Directors activities. These include, but are not limited to, the following:
Helps to plan and organize meetings of the Board of Directors and Committees of the Board; drafts and/or revises agendas, meeting schedules and other documentation required for Board and Committee meetings; finalizes, organizes and, at direction of Corporate Secretary or GC Sr. Executive Assistant, uploads Board and Committee documents to electronic board books program; assists in arrangement of all aspects of meetings, including travel and lodging for Board members, organizes and plans logistics for offsite and onsite meetings (e.g., facility selection, menu planning, transportation arrangements, and audio/visual equipment); maintains record of board actions, and meeting attendance, as well as related correspondence; develops reports and databases to provide materials and monitoring related to various board functions; develops/acts in accordance with templates and processes for meetings and Board functions; oversees payment of directors’ fees; prepares and distributes annual Directors & Officers Questionnaire; prepares draft report of Governance & Nominating Committee chair; keeps database of available Director education seminars; compiles approved minutes and complete sets of Board materials, archives and sends to doc files
Experience similar to what is needed in a Corporate Secretary's office
High level administrative professional with knowledge of corporate governance - discrete, confidential, can work well with Board materials
