The Assistant General Counsel will interact with program staff and conduct its primary work on transactional matters for the corporation and its subsidiary. Seedco’s primary transactions are contracts with federal, state, and local governments, and related subcontracts with community organizations as well as matching or other support agreements with private funders.

The assistant general counsel works within three distinct areas of transactional law: (1) prime contracts with funders ( largely government entities), (2) sub-contracts with community-based or other non-profit organizations, and (3) operations and administrative contracts, including equipment and office leases. Related to each is the development of consultant contracts, as needed. Other legal work involves employment matters, employee immigration matters, and providing legal advice and counsel to program and executive staff. The assistant general counsel will also perform some degree of governance and general corporate law related to meeting materials and resolutions for the board of directors of Seedco and that of its Subsidiary, Non-Profit Assistance Corporation.

Primary job functions:
  • Using independent judgment, the AGC will draft and review contract and corporate documents between Seedco and its subsidiary, private and government funders, non-profit partners, and consultants
  • Advise staff on legal issues
  • Provide interpretations of statutes, regulations, and procedures
  • Conduct legal research, including research on new laws and regulations
  • Prepare legal responses to requests for information and subpoenas
  • Deal independently with outside counsel and representatives of outside agencies
  • Provide legal advice and guidance on labor and employment issues
  • Monitor and manage litigation
  • Oversee and coordinate legal matters related to the immigration process for staff
  • Facilitate compliance with immigration laws or identify solutions to noncompliance in consultation with general counsel and human resources
  • Represent the corporation in court and at administrative hearings

Supervisory reports: None

Interacts with:
  • Staff of all levels, including human resources and senior program managers
  • Outside counsel, consultants, and vendors
  • Counsel for funders, government agencies, and community partners
Education and related work experience:
  • JD degree
  • Member of New York State Bar
  • 2 or more years of transactional legal experience with a top firm, especially in contract development
  • Work experience with not-for-profit strongly preferred
Knowledge, skills, and abilities:
  • Knowledge of government contract guidelines, especially in New York City preferred
  • Excellent oral and written communication skills
  • Strong attention to detail
  • Excellent judgment and discretion with confidential or sensitive material
  • Ability to collaborate effectively with employees at all levels
  • Ability to work well independently and as a part of a team
  • Computer and internet research skills – MS Excel and Word are essential
