This position provides legal support to Finance/Treasury, Financial Reporting, Tax, Executive Compensation and Logistics Departments. Performs varied and complex legal assignments and dispenses legal advice to company management and personnel.
Reviews documents, provides advice, and participates in negotiations and consultations with banks and other lenders, outside counsel and company management on matters involving: public debt and equity offerings, secured credit agreements and various financing/treasury contracts, agreements, engagement letters and forms.
Drafts and/or reviews documents, provides advice, and participates in meetings and consultations with company management on matters involving securities compliance and disclosure, including: 1933 and 1934 Act filings, earnings releases, investor presentations and NYSE filings.
Actively participates in ongoing corporate governance matters, including: assistance with the preparation and compilation of Board and Committee materials; preparation of meeting minutes; drafting of resolutions and written consents; and assistance with various state and local qualifications, assumed name filings, license applications and other maintenance matters.
Performs preparation of memoranda, agreements and complex legal documents and instruments. Reviews agreements and other legal documents and gives advice with respect thereto.
Reviews existing and proposed securities and corporate governance legislation and regulations affecting the company and its subsidiaries; provides legal advice and guidance with respect thereto.
Keeps abreast of issues and developments in specialty areas by reading articles, attending professional conferences and conferring with professional experts. Maintains proficiency in word processing, presentation, spreadsheet and other relevant software programs.
Minimum Juris Doctor or equivalent degree required from an ABA accredited US law school required.
Current license to practice law in Texas or applicable states in which company has operations required.
Minimum 3 years directly relevant experience required.
