Corporate Counsel, Commercial
Contracts, will report to the General Counsel and will lead
Maxim’s global commercial contracts group in handling a diverse
and challenging array of contracts and legal matters arising from the
company’s worldwide workforce of 9,000 employees. Qualified
candidates will have both law firm and in-house experience advising
on US and non-US contract matters, experience managing a commercial
in-house contracts group and establishing global review, assembly,
and approval processes and procedures. A practical, business-based
approach to problem solving is required. Exceptional interpersonal
skills that facilitate prompt, constructive solutions for business
units, operational personnel, and executives across the organization
are also essential.

Responsibilities:
  • Provide advice and counsel on state, federal, and foreign
    commercial laws and regulations
  • Manage global contracts
    group
  • Manage and coordinate US and non-US outside counsel
  • Develop and manage internal processes for review, assembly,
    and approval of contracts globally
  • Assist with due
    diligence on contract matters in acquisition activity

  • Training on contract and commercial law matters

Requirements:
  • Ten or more years of substantive US and non-US contract and
    commercial law experience. Prefer California Bar.
  • Large law
    firm and in-house contract and commercial law experience, preferably
    with a technology company

  • Strong oral and written communication skills
  • Proficiency with Microsoft Word, Power Point, Excel,
    Outlook and Adobe
  • Ability to distill complex issues into
    plain language, clear prioritization of issues, and practical
    alternatives for business team consideration
