Associate General Counsel

The Federal Home Loan Bank of Des Moines seeks an Associate General Counsel to provide legal advice and counsel to the Bank’s business units and Board of Directors in order to support Bank operations and objectives while minimizing legal, regulatory and compliance risk.

  • Effectively monitor, interpret and respond to laws, regulations and other government initiatives that may have an impact on the Bank’s business; recommend solutions or alternative approaches and courses of action
  • Proactively monitor the legal and regulatory environment of the Bank and the Federal Home Loan Bank system to ensure timely identification and resolution of issues affecting the Bank
  • Assist the Senior Vice President and General Counsel with designing comprehensive communication and reporting to Bank management on legal activities and results
  • Provide legal counsel and support to all business units of the Bank and the Board of Directors regarding general corporate governance matters
  • Assess, develop, modify and interpret policies, practices and procedures of the Bank to ensure compliance with applicable laws and regulations
  • Conduct legal research and prepare memoranda, correspondence or other materials summarizing and applying research and analysis to Bank issues
  • Serve as liaison to regulatory agencies and help oversee all Bank examinations
  • Serve as the Bank’s primary legal advisor concerning vendor, contract and record management
  • Assist the Senior Vice President and General Counsel with corporate secretary functions
  • Draft, review and revise contracts of all types, including credit, security and derivatives agreements
  • Assist the Senior Vice President and General Counsel in securities law matters
  • Assist in internal training on various regulatory and compliance matters
  • Juris doctorate degree from an accredited law school and bar admission in the State of Iowa or another state (if requirements for limited practice as House Counsel in Iowa are met)
  • 5-7 years experience with law firm or corporate law department; focus on financial institutions, regulatory, commercial and corporate law preferred
  • Broad general knowledge and understanding of banking and financial markets, financial and economic analysis; knowledge of federal and state banking laws; strong knowledge of UCC and experience with secured lending transactions preferred
  • Strong analytical and critical-thinking skills; excellent written and verbal communication skills, including the ability to communicate effectively with non-lawyers
  • Ability to collaborate, build and maintain strong relationships with the business and to external key constituents
  • Ability to achieve appropriate balance in managing legal and regulatory risks with the evolving business needs of the Bank
  • Excellent organizational, interpersonal, client relations and team skills, including the ability to build consensus on difficult legal and business issues
  • Ability to succeed in a collaborative environment. Possess the ability to shift gears quickly in a fast-paced and demanding environment in response to the changing needs of the business.
