Job Summary:
Lead business units, subject matter experts and senior/executive management through complex high risk vendor contract negotiations from Request for Proposal (RFP) through signing. Analyze and leverage business unit project requirements, issues and implementation schedules to minimize contractual, business and regulatory risk and maximize reward to bank. Provide contractual, business and regulatory advice relating to contract terms and conditions. Communicate contractual and business risks to senior/executive management for approval. Develop a negotiation strategy suitable for each vendor and lead each negotiation to successful completion.

Major Responsibilities:
Analyze and leverage business unit project requirements, issues and implementation schedules to negotiate vendor contracts to signing while minimizing contractual, business and regulatory risk and maximizing reward to bank.

Lead business units, subject matter experts and management through the process of identifying and resolving complex contractual, business and regulatory issues from RFP through signing. Communicate complex contractual and business risks to senior/executive management for approval.

Develop a negotiation strategy suitable for each vendor and lead each negotiation to successful completion. Common goals of each negotiation will include 1) procuring the appropriate products and/or services, 2) mitigating business unit and bank wide risk by negotiating satisfactory terms and conditions 3) developing vendor performance management metrics 4) reducing overall business costs, and 5) act as subject matter expert for all contractual aspects of vendor due diligence. (20%)

Review business unit requirements and assist in the creation of competitive RFPs. Develop negotiation strategy and evaluate winning response for inclusion in the vendor contract. (15%)

Provide subject matter expertise to business managers to ensure contract language is in compliance with the bank's Risk Vision and Vendor Management directives, and all applicable laws, regulations and regulatory guidance, including bulletins and other publications of the Bank's regulators. Communicate complex contractual regulatory risks to senior/executive management for approval. (15%)

Draft new agreements based on Bank standard contract templates, including master agreements, statements of work, schedules and exhibits. Manage renewals and amendments to existing vendor agreements. Act as subject matter expert for all contractual aspects of enforcing ongoing vendor performance. (50%)

Qualifications

Additional Information:
Minimum 5 years of applicable professional experience and a demonstrated track record in successfully developing, negotiating, and managing multimillion dollar technology licensing and hardware agreements. Additional experience in contracting for professional services such as advertising services, consulting, HR services, item processing, purchased research, and financial services.

Strong project management skills, which will be used to lead initiatives, related to the bank's Risk Vision and Vendor Management activities.

Strong PC skills, competent in Microsoft Word, Excel, Project and able to learn and successfully

utilize specialized software applications.
