The Contracts Associate (CA) supports the Customer Strategy team throughout the sales cycle, drafting, editing, and managing the approvals and compliance of agreements, routing and archiving contract documentation, and managing sales data. The CA ensures that all agreements are in compliance with all corporate & business unit policies and operating procedures prior to business review and execution. The CA must be detail oriented, able to work with minimal supervision, exhibit a high degree of accuracy and flexibility, demonstrate the ability to follow up on multiple tasks and possess the ability to handle confidential information diplomatically.
Contract review, writing and preparation:
-Review and revise all agreements generated by Customer Strategy team (CS) to ensure compliance with corporate and business unit operating procedures.
-Review and revise all Client generated agreements to ensure compliance with corporate and business unit operating procedures.
-Generate agreements as needed, ensuring compliance with corporate and business unit operating procedures.
-Create PAREXEL confidentiality agreements (CDA¿s) as needed or requested by CS. Review client CDA¿s, revise and approve in accordance with corporate operating procedures.
-Understand and apply appropriate contracting methods as client needs dictate, including Service Agreements, Letters of Intent, Master Services Agreements, Exhibits/Work Orders, Amendments and Changes in Scope.
-Understand and apply appropriate payment types as client needs dictate, including time & materials, fixed priced, and unit priced.
-Participate as needed and appropriate, in client contract negotiation, including group negotiation calls and direct client communication.
-Work directly with legal, finance and consulting practices to ensure approvals are secured and compliance is met prior to contract execution.
-Periodically review approved template agreements and recommend standard changes as new needs are identified or issues are discovered.
-Act as a librarian for the storage and retrieval of proposals.
Contract routing, return and archiving:
-Manage and coordinate the business review and signature process
-Return executed original agreements to clients.
-Manage archival of executed original agreements in correct geographic locations by legal entity.
-Electronically archive all executed agreements and contractual documentation in contract database for internal access.
Data entry and reporting:
-Accurately complete data forms for each project to be used by BPS Admin / finance team & project execution team.
-Manage hand-off of executed agreements and contractual information for each project to the BPS Admin / finance team for system set up and project execution.
-Enter and update sales information for signed agreements into the ClientLink system
-Prepare credit checks and ensure credit terms are included in agreements
-Participate in proposal, RFI and RFP processes as needed.
-Following up on 'cold cases' i.e. finding old contracts.
Skills and Experience
-Excellent writing and editing skills required. Technical writing experience a plus.
-High degree of proficiency with the Microsoft suite, especially Word, Excel and PowerPoint
-Experience handling multiple projects simultaneously and ability to take ownership of assigned projects. Deadline-oriented.
-Motivated to work in a fast-paced environment and maintain a high degree of accuracy and flexibility to schedules.
-Experience of working with cross-functional teams and the ability to gain trust and confidence of internal customers. Values and understands the importance of teamwork.
-Excellent interpersonal, verbal and written communication skills, specifically in the areas of customer service and business proposal writing
-Sales experience a plus.
-College degree or equivalent, emphasis in business management, finance, marketing, sales and/or health-related sciences preferred
