Position:
The Corporate Counsel will deal with a wide variety of matters including all of OpenX’s primary revenue contracts, vendor agreements, regional operator agreements, consulting agreements and non-disclosure agreements. We are looking for an individual who is highly motivated and capable of drafting and negotiating a wide range of legal agreements. The individual must have exceptional writing and analytical skills, be a team player and have a positive attitude. The individual’s primary responsibilities will be focused initially on contract drafting, review and negotiation, with involvment in many other areas, including employment, corporate governance, intellectual property, mergers and acquisitions. This position is ideal for a highly-motivated law firm or in-house attorney who is looking for a core contract practice with significant client contact and exposure to other areas of in-house practice at a dynamic technology company.

Qualifications:
Attorney with three to seven years legal experience, license to practice law in the state of California, and strong academic credentials.

Experience drafting, negotiating, and managing a wide range of commercial agreements, including intellectual property, technology, commercial, and vendor agreements.

Deep knowledge of specific contract provisions as they apply in the context of technology and advertising, including indemnification provisions, limitations of liability, and license grants.

Familiarity with open source licenses and data usage issues.

Strong interpersonal and negotiation skills.

Exceptional attention to detail and quality control.

Ability to draft well-structured, complete and concise correspondence and documents.

Ability to efficiently manage multiple projects simultaneously, and respond to co-workers in a courteous and timely manner.

Ability to organize, prioritize, and reorder workload in a dynamic environment.

Ability to work both independently and as part of a team.

Flexible thinker with the ability to make sound independent decisions.

Familiarity with other areas of law and in-house practice, including labor and employment, corporate governance and securities, privacy, contract management, intellectual property, law department management, is a plus.

Experience in a large law firm and/or prior in-house experience is helpful but not required.

Salary and benefits are competitive. Relocation reimbursement is not available.
