Qualys is looking for an experienced Corporate Counsel to join the legal team in Redwood Shores, CA. Reporting directly to the Vice President of Legal Affairs, the Corporate Counsel will be the fourth attorney in the Qualys legal department. This is an outstanding opportunity to work in a small legal department of a fast growing publicly held company. Qualys seeks someone who enjoys working within a fast-paced and dynamic company.

Responsibilities:
Draft and negotiate a wide variety of commercial and intellectual property agreements that comply with company policies and risk tolerance

Manage the activities of contract administration as well as providing front line deal support to direct and indirect Sales and Strategic Alliance teams

Advise business leadership (e.g., Sales, Marketing, HR, Finance, IT, and Operations) on diverse legal issues and risks

Support the continuous improvement of standard form agreements, internal review processes, and other legal policies

Train employees on legal issues and company policies

Manage outside counsel on a variety of matters as needed

Handle special projects as requested

Requirements:
Must have a JD from an accredited law school and be an active member in good standing of a Bar (preferably the California Bar)

Must have at least 4-7 years of relevant legal experience and demonstrated success with a mix of corporate law firm and in-house experience

Experience advising clients on and structuring complex commercial and other legal issues and arrangements

Excellent interpersonal skills, business judgment and strategic thinking

Superior work ethic and able to work efficiently with cross-functional teams and manage multiple projects simultaneously under deadline pressure

Flexibility and willingness to work on a broad variety of legal matters

Experience in network security or other high technology companies, preference given to prior experience drafting or working on SaaS agreements

Experience working with public sector customers and/or international customers and transactions a plus

Ability to operate independently for most issues

Superior communication skills, both verbally and in writing
