New York based Patriarch Partners is a well established private equity firm and is currently seeking an individual, with corporate legal experience, to assist our team of lawyers in all aspects of corporate transactions.

Responsibilities:
Provide general administrative and paralegal support to in-house counsel Maintain internal electronic corporate files

Work with lawyers to prepare all documents required to form corporations and limited liability companies
Assist lawyers in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations and/or limited liability companies
Prepare corporate governance documents (draft resolutions, minutes, consents, etc)
Create and maintain corporate minute books
Create weekly and monthly reports relating to outstanding corporate matters and litigation
Assist with the processing of Women’s Business Enterprise National Council (WBENC) applications online for business certifications
Compile portfolio company minute books in preparation for off-site meetings with WBENC
Prepare monthly invoice reports for all legal invoices; both corporate and legal
When necessary, act as a liaison between attorneys and law firms with regard to questions and inquiries related to legal invoicing
Prepare and submit documents to various state and governmental agencies and embassies for apostille and legalization; Secretary of State document requests including good standing certificates
Assist attorneys in preparation of integral corporate documents/materials

Qualifications:
Bachelor’s degree, or its equivalent, plus at least three (3) years practical experience as a corporate paralegal, preferably with a paralegal certificate. If experience is “in house”, candidate must have experience supporting the corporate secretary or general counsel from a law firm, candidate must have experience supporting the corporate division (M&A/Deal Team)
Familiarity with corporate governance and issues relating to mergers and acquisitions employment laws, contract law and general banking preferred
Ability to develop, institute and maintain processes
Professional demeanor, excellent analytical skills, well-organized and detail-oriented
Strong data management and follow-up skills
Superior organizational, written, oral communication and interpersonal skills; proper use of grammar
Excellent computer skills, including stellar expertise with Microsoft Office applications (especially Excel and Word; PowerPoint is a very strong plus)
Strong work ethic
Must have exceptional integrity, high ethical standards and judgment
Ability to work well in a team environment, and under time constraints
Ability to react quickly with a strong sense of urgency
Ability to prioritize multiple tasks and respond promptly to shifting priorities
Comfortable performing both administrative and paralegal tasks
