MTV Networks International is currently seeking a Counsel, Business & Legal Affairs, Nickelodeon & Viacom Consumer Products who will be dedicated to the America’s (Latam & Canada) cluster.
Business and Legal Affairs advice (drafting/negotiation/analysis/disputes/compliance) and servicing of all legal requirements related to the Consumer Products business division including:
To draft, negotiate, review and conclude of all transactional licenses including merchandise agreements across all categories, distribution agreements, home video and audio licenses, promotion agreements and publishing agreements;
To draft and negotiate, conclude and implement required inter-company agreements;
to draft, negotiate, conclude and file, as necessary and prior to relevant discussions of all required confidentiality / non-disclosure agreements;
To draft, negotiate and conclude of all agency/representation and consultation agreements. To manage agency relationships from business & legal affairs perspective;
To clear promotion and marketing activities and other non-commercial activities. Ensure authorization letters are issued, as necessary;
To draft, negotiate and conclude related broadcaster participation agreements in line with agreed internal processes and procedures;
To ensure regular collaboration with VP BALA and the broader international BALA team, as relevant and necessary to ensure the management of BALA requirements for the cluster are entirely consistent with drafting, template, negotiation positions and policy for consumer products business across all Viacom brands;
To draft, negotiate and execute all other third party service agreements related to consumer products for the cluster to ensure in line with finance and other requirements, as necessary;
to provide day to day business and legal affairs support to the America’s consumer products team to provide professional guidance required to support and drive the business;
to provide guidance and support to contract manager(s) and coordinators, as required to drive transaction business ensuring contract turnaround times and ensure consistency of policy and negotiating positions as well as improvement on internal audit findings related to execution;
Perform other essential functions as assigned.
Rights Management and Regulatory Issues:
Monitor and enforce company processes in dealing with local rights and clearances issues, e.g. enforcing rights and clearance policy.
Consider and advise on collecting and other ‘rights’ society issues, as directed
Work with Trademark’s and Enforcement team and Trading Standards and other agencies regarding the protection of IPR and registering any new IPR as directed.
Monitoring and ensuring compliance with Viacom policies and procedures internally and by licensing partners and representatives/ agents including.
Manage such Intellectual Property rights protection, breach and compliance issues with licensees, as necessary;
Ensure active enforcement of contract terms and management of licensee activities;
Any other tasks as may be requested by the Vice President BALA, Consumer Products International.
Job Specific Skills:
Excellent understanding and experience in drafting and negotiating commercial contracts coupled with a sound understanding of contract law and intellectual property rights.
Excellent project and team management skills
Intellectual Property and licensing expertise
Recommended 3-5 years PQE
Fluent in Spanish or Portuguese preferred
