Job Summary Overall responsibility for setting U.S. and foreign corporate tax policy including the development of tax planning strategies and procedures for $1B+ U.S.-based Multinational Corporation. Ensure compliance with all tax and financial reporting requirements by U.S. and foreign entities.

Essential Duties and Responsibilities · Participate with members of management in planning the company’s global operations to minimize taxes, consistent with overall corporate objectives

· Review tax returns and related reports to ensure compliance with all international, U.S. , state, and local tax statutes and regulations by properly interpreting tax laws and regulations to minimize tax liability. Responsibility involves the activities of U.S. manufacturers ( Carlsbad , CA and Chicopee , Mass), domestic tax structures (Callaway Golf Sales Co and Callaway Golf Interactive) and 10+ taxable overseas operations.

· Review proposed major transactions (e.g. acquisitions) in their formative stages, and advise or propose changes to achieve the best overall tax result

· Employ outside professionals in tax matters, control their efforts, and determine the extent of their use

· Ensure accuracy of financial reporting (SFAS 109) and disclosure of tax related information, including compliance with requirements of Sarbanes-Oxley

· Perform international tax planning, including transfer pricing, earnings repatriation, and foreign tax credit planning, and integrate this planning with global customs issues with respect to the activities of U.S. manufacturers and overseas taxable operations

· Oversee technical issues with respect to US Customs compliance and audits for U.S. manufacturers

· Oversee the day-to-day management of sales/use tax, property tax planning and compliance for activities of U.S. operations

· Manage global tax controversy matters and all aspects of contact with tax authorities

· Recommend strategies for defending positions taken on the company’s tax returns and determine appropriate positions for negotiation and settlement of disputed tax matters

Knowledge, Skills and Abilities

· Advanced understanding of GAAP Accounting, Finance and Business with extensive knowledge of SFAS 109

· Able to lead direct employees as well as colleagues

· Able to work as part of a team toward meeting corporate goals and objectives

· Ability to think strategically and provide visionary leadership

· Considers and understands financial impact of decisions

· Knowledge of change management techniques preferred

· Highly skilled at effectively communicating in both written and oral form with specific proficiency in business writing

· Intermediate knowledge of Microsoft Office applications, specifically Excel and Word

Education and/or Experience · Certification as a CPA

· MS in Taxation, JD, or LLM

· High level of technical expertise in international tax and mergers and acquisitions preferred

· A minimum of 10 years experience; industry experience preferred
