Reporting to: Chief Executive officer
Status: Full-time, Exempt

Position Summary:

As the top legal executive for NAVEX Global, you will create optimal efficiency in our contract process,leading a team of approximately 5-7 contract attorneys and other legal professionals and closely coordinate with Sales and Finance. You will facilitate complex business transactions, including mergers and acquisitions, and oversee HR. You will be responsible for all legal aspects of transactional and regulatory matters related to NAVEX Global, and advise our Board of Directors and other key organizational leaders as needed.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

General:
• Create optimal efficiency in the contract process by designing both a people and technology supported system that maximizes the pace of contract through-put, reduces the length of the sales cycle and is highly scalable; advise key executives on contract status, legal risks and business terms of various deals
• Negotiate, write, and execute agreements and contracts as needed
• Serve as a key legal and strategic advisor on all major business transactions, including strategic partnership deals, and mergers and acquisitions
• Advise senior management on a broad range of federal and state regulatory and compliance matters
• Identify areas of risk and make suggestions for improvement
• Oversee internal HR; help to build a world-class company culture that attracts and retains top talent and enables the business to scale and outpace the competition
• Contribute to the broader strategic growth plan
• Manage outside counsel relations
• Write department annual budgets and administer funds according to budget approval
• Provide assistance with global joint ventures, Keep abreast of legislative changes that may affect the company and its affiliates
• Develop solutions to complex legal questions
• Review advertising and marketing materials to ensure compliance with legal requirements as needed

Leadership:
• Participate in executive team meetings and present at Board meetings as needed
• Build and lead a highly functional team of approximately 6-8 people
o Provide clear individual and team goals that ensures each team member understands their role in helping achieve NAVEX Global’s organizational goals
o Make changes when necessary and proactively addresses performance issues
o Coach and inspire staff with the goal of ongoing individual improvement and retention

QUALIFICATIONS:

• Oregon bar license required
• 10-15 years demonstrated experience in legal services with a minimum of 3-5 years working in-house with a significant focus on technology licensing agreements. Experience working in a in a fast-paced, entrepreneurial technology environment preferred
• Experience working at a senior management/executive level for at least 5 years
• Experience streamlining the contract process using both people and technology to drive revenue and reduce the sales cycle; experience with CRM a plus
• Experience integrating newly acquired companies
• Experience preparing an organization for merger and/or acquisition
• Excellent written and oral communications skills in public and private settings with diverse audiences
• Ability to translate complex legal issues for various audiences
• Ability to build consensus among different groups with competing demands
• Experience working with employment law
• Successful track record inspiring and developing teams
• Skilled with change management, process improvement and project management
• Experienced planning for the future, keeping abreast of legal regulations while managing day-to-day projects

ENVIRONMENT:

• 10-20% travel
• Fast-paced team environment (frequent tight deadlines, multitasking, etc.)
• Extensive computer and phone use; email intensive environment
• Must be able to read, write and speak English fluently
• Must be able to pass a background and reference check
