General Counsel

TrueCar's General Counsel, reporting to the CEO, will be an integral part of the Executive Team and will be globally responsible for leading and directing all corporate governance, company agreements, compliance, litigation and risk management, intellectual property and external legal team efforts. Additionally, this person will be a key player in financings and corporate development. Specific accountabilities include:
  • Oversee Corporate Governance , including corporate secretary functions and corporate compliance for the Board of Directors; manage stockholder communications and compliance; ensure company’s receipt of all required approvals, provision of required notices, and compliance with applicable corporate documents; maintain corporate records
  • Actively participate in Financings and Corporate Development , including manage investors, Board and company throughout financing process; organize due diligence; advise on deal structure; draft and manage deal documents; conduct negotiations; oversee finance and securities law matters
  • Responsible for all Company Agreements , including n egotiate, draft, review and approve documentation for commercial and financial transactions, customer agreements, distribution partner agreements, employment and consulting agreements, and other company agreements; provide communication and advice with respect to the company’s requirements and obligations under its agreements with investors, partners, employees and vendors; maintain and track company agreements; develop forms and samples for standard company agreements; manage access to company records
  • Ensure Compliance with all applicable laws and regulations, including research, review and analyze applicable laws and regulations; advise business units and management on requirements of applicable laws and potential workarounds as needed; review all externally distributed material to ensure compliance with laws
  • Oversee all Litigation and Risk Management , including oversee intellectual property protection, privacy compliance, employee legal matters, new business initiatives and business practices; m anage and oversee threatened and actual litigation or other legal proceedings
  • Oversee all Intellectual Property, including timely filings; management of company’s intellectual property portfolio; working with business units to ensure intellectual property is protected
  • Manage External Legal Team relationships, including direct and supervise external counsel; ensure company is retaining the right legal external resources for long term corporate strategy
  • Hire, develop and lead a team of highly motivated and disciplined legal professionals
  • Manage and oversee the reporting of legal activity metrics
  • Create and do not exceed legal budgets

  • 20+ years of overall legal experience, including leading legal teams
  • 10+ years of successful, senior-level corporate counsel experience in a consumer-focused, non-entertainment, product-driven, technology-centric company or division with at least $100 million in annual revenue
  • 10+ years of successful experience at a top tier law firm
  • Ability to quickly assess complicated situations and articulate specific recommendations based on facts, the law and first-hand experience
  • Strong understanding of the auto retailing industry
  • Experience and success in building and leading a highly talented legal team in an extremely fast- paced environment
  • Customer committed, including ensuring the needs of internal customers are met
  • Ability to thrive in an entrepreneurial environment of constant change
  • Self-directed, rolls up the sleeves and overcomes obstacles
  • Engages in problem solving activities regularly and autonomously
  • Sets, pursues and follows-through with achieving goals with a sense of urgency

  • Excellent communication skills, both verbal and written
  • Experience giving effective presentations to key decision makers
  • Collaborative attitude and desire to contribute outside primary areas of responsibility
  • Well organized with good attention to detail
  • Sense of humor
  • Law degree from top tier program required
  • Licensed to practice law in California
