AdMedia is seeking an experienced individual who can handle all of the company's legal needs. Key responsibilities include negotiation, review and draft a wide variety of agreements including internet advertising agreements, insertion orders, distribution and licensing agreements, NDAs, vendor agreements, HR-related agreements, etc. Draft EULAs, privacy policies and other corporate policies and handle intellectual property matters.

Desired Skills and Experience:
Experience in drafting legal agreements and negotiating complex licensing, advertising, content distribution and other commercial agreements within the online media or technology industry

Experience in drafting and negotiating APIs, procurement deals, IOs and other similar agreements

Skilled negotiator with prior experience in structuring complex business transactions

Familiarity with internet, intellectual property, privacy laws and issues are preferred

Experience counseling and partnering with business clients on complex matters

Enjoys working in a fast-paced environment and is able to manage multiple projects simultaneously

Able to adapt to change with ease and maintain composure when under pressure

Exhibits excellent organizational and presentation skills and is able to work effectively with senior level management

Prior experience working with strong personalities and entrepreneurial clients is strongly preferred

Outstanding strategic, organization and counseling skills, with the ability to follow through on numerous projects simultaneously under strict deadlines

Demonstrated ability to work independently and as part of a highly collaborative team

Possesses sense of humor, flexibility, creativity, professionalism and collegiality

Qualifications:
Minimum one (1) year of relevant basic in-house legal experience at an Internet company is a MUST.

Passion for, and understanding of, the Internet.

General business and commercial law experience required including advising clients on advertising and marketing matters, commercial transactions, business development deals, sales agreements and services contracts.

Intellectual property experience and current knowledge of the media and Internet industries required.

Military Background a BIG plus.

Exceptional organizational skills and ability to work independently and balance numerous projects under pressure.

Flexibility and willingness to work on a broad variety of legal matters.

Superior written and verbal communication skills.

Strong attention to detail.

Excellent interpersonal skills; must be dynamic as well as highly team oriented.
