Under the supervision of the Senior Vice President & General Counsel, oversees and contributes to developing, drafting, revising, negotiating and administering contracts while monitoring compliance with government regulations and other commercial contract terms. With the strategic guidance of the Senior Vice President & General Counsel manages the contracting process and workflow, including the coordination with all involved functions, giving a particular eye to legal and regulatory matters. Communicate with both internal business partners and external contacts regarding contract terms, related status and other associated legal matters. Advances the legal strategies developed in support of Sargento's position, performing complex analyses as needed. Is an essential and key hub within the legal function with high visibility to all facets of the organization. Maintain, optimize and develop when necessary the processes and databases utilized to route, track and file contracts and other pertinent legal documents. Will be heavily involved with all aspects of the legal department and its operations throughout the organization.


Assist with the gathering of information to develop and establish internal policies and procedures to handle the identification, dissemination, review and approval of all pertinent legal documents.

Use Microsoft Suite and Adobe Acrobat extensively to, under the oversight of the General Counsel, draft and negotiate a variety of contracts and other legal documents as requested.

Manages the contracting process and workflow, coordinating input from other key stakeholders throughout the organization. Assists in identification, development and implementation of new contract policies and processes

Responsible for being the initial contact with customers, vendors, suppliers, and others for contractual matters and other related legal documents. Communicate effectively and professionally with all levels of staff and management and facilitate the resolution of their contract related concerns. Understand and anticipate departmental needs and corporate matters; delivers high quality service and results. Communicates with internal business partners seeking clarification of and/or decisions on business terms in contracts, secure required signatures and ensure timely follow up on pertinent legal matters.

Maintains accuracy of contract files, designated databases, and contract storage or management systems. Is a champion and expert of internal company document retention software packages, capable of preparing training and support to users as necessary.

Provides authoritative guidance to internal business teams on corporate goals and objectives relating to contracting activity.

Manages the process for front-end contract requirements including assistance with RFP's, questionnaire's, and other contractual support documentation as necessary - coordinating on the same with other key positions throughout the organization.

Remains current on all policies, procedures, and practices of Sargento Foods Inc. as they relate to the area(s) supported by the corporate legal department. Assists the General Counsel in maintaining and coordinating the same policies in a specified policy manual.

Acts as law librarian, keeping and monitoring legal volumes and ensuring legal volumes are up-to-date. Files correspondence and legal documents in appropriate folder/filing system. Ensures proper indexing and filing of original legal documents and related correspondence.

Education and/or Experience:

Bachelor's degree (B. A.) from four-year college or university required.

Minimum of one to two years experience working in a corporate legal department, as a contract administrator, paralegal, or similar function plus five to eight years overall postgraduate work experience with a corporation or law firm is required.

Certificates, Licenses, Registrations:

Valid Driver's License Required.

Computer Skills:

To perform this job successfully, an individual will have knowledge of internet based legal software solutions; spreadsheets, word processing, presentation software, Adobe Acrobat and pertinent document retention and database software.

Oral Presentation and Written Communication:

A well-developed skill set allowing for direct revisions and drafting of contractual documents with minimal supervision. Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, or governmental regulations. Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public.
