On December 15, 2011, the Company announced it plans to spin off its pharmaceuticals business into a standalone public company. Covidien anticipates the transaction will be in the form of a distribution that will be tax-free to U.S. shareholders of a new, publicly traded stock in the new pharmaceuticals company. Covidien currently expects that the process could take up to 18 months. While we are undergoing the spin-off process, the pharmaceuticals business remains a segment of Covidien, and will continue to operate according to the Company’s strategic plan, focusing on our customers and patients who rely on our products.
