Under general direction supports the design, communication and compliance of the company’s executive and non-employee Director Compensation programs including long term incentive stock programs, executive market measurement, and executive compensation proxy disclosure. Provides support to the Executive Vice President of Human Resources and to the Vice President of Global Compensation & Benefits in various complex challenges that arise in the area of executive and director compensation.
Carries out managerial/supervisory responsibilities in accordance with the organization’s policies, procedures, and state, federal and local laws.
Monitoring, and implementing when appropriate, market trends and best practices related to executive compensation and benefit design.
Responsible for working with Finance and Legal on the development of the Annual Proxy, including the CD&A and proxy tables for covered officers, and other materials related to periodic SEC filings.
Design and approval of retention equity and cash grants globally.
On-going analytical and research support of specific compensation needs arising in the executive job levels related to retention, M&A, terminations, etc.
Knowledge of the administration and management of company-wide stock and equity programs, including restricted stock, restricted stock units, stock options,
Executive Deferred Compensation Plan.
Develops and maintains appropriate documentation supporting executive compensation as it relates to corporate governance, and SEC filing requirements. Ensures information needs are met and proper accounting of executive compensation plans is maintained.
Prepares materials for management presentations to senior management and/or the Board of Directors.
Provides analytical support for the development and evaluation of all aspects of the Company's executive compensation plans and programs.
Serves as a liaison with internal departments including Finance, Legal and HR.
Compensation leadership responsibilities including: assisting others in the Compensation & HR function in technical matters related to executive compensation, provide training to others as needed in area of expertise
Conduct competitive assessments and completes internal equity reviews to ensure executive compensation remains competitive
Ensures compliance with all Company policies and procedures, including safety rules and regulations.
Performs related duties as assigned.
Knowledge of :
Knowledge and understanding of accounting and financial concepts especially as they relate to executive compensation and benefits including tax and accounting treatment, SEC regulations and filings, proxy disclosures, FASB, 10k annual report analysis, Internal Revenue Code Section 409A.
Knowledge of executive compensation legislative landscape and SEC Proxy disclosure requirements in order to ensure full compliance.

Bachelor's Degree in related field from an accredited college or university, and a minimum of five (5) to seven (7) or more years progressively responsible related experience in executive compensation, preferably in the pharmaceutical industry; or an equivalent combination of education and experience.
