GENERAL DESCRIPTION

Provides legal advice to Company personnel regarding the project operations and corporate operations in accordance with all pertinent legal regulations and Company objectives and policies. Assists with legal matters as assigned by the General Counsel or Associate General Counsel.

MAIN ACCOUNTABILITIES

Drafts, reviews, and negotiates, various types of agreements, including but not limited to service agreements, maintenance agreements, filings, letters of intent, shared use agreements, and engineering services agreements

Draft and negotiate documents related to M&A transactions, particularly asset and membership purchase and sale agreements

Drafts legal correspondence

Handles day-to-day project-related and corporate legal issues, analyzes exposure to risk factors, and ensures that Company documents and activities meet all legal requirements.

Provides legal expertise and support to Company personnel in the operation of wind power projects

Assists the General Counsel and Associate General Counsel with developing, reviewing, and recommending changes to legal aspects of Company documents to improve efficiency and risk mitigation

Supports Company project documentation and compliance functions

In coordination with Real Estate Counsel, resolves disputes with landowners and other entities regarding project operations

Assists with financing matters, including confidentiality analysis, due diligence, and letter agreements (non-binding and binding letters of intent

Additional duties as required

Position Requirements

POSITION REQUIREMENTS:
1-5 years in the legal field, including experience reviewing and negotiating documents related to M&A transactions, particularly asset and memebership purchase and sale agreements

REQUIRED LICENSURE OR CERTIFICATION: Licensure to practice law in the state of Texas

REQUIRED KNOWLEDGE: Proficient knowledge of all types of contracts (corporate contracts, office leases and amendments thereto, estoppel certificates, service and supply contracts, communication contracts, maintenance contracts, licenses, confidentiality agreements and consulting agreements), the manner in which corporate entities operate and are organized, intellectual property, and purchase orders
