The paralegal will assist the attorneys with all aspects of leveraged finance transactions, as well as corporate acquisition and sales transactions. Duties will include: drafting officer certificates, board and shareholder resolutions and side letters; conducting lien searches and preparing summaries; ordering and reviewing certificates of good standing and corporate charters; preparing UCC filings; drafting closing agendas and organizing closing documents; tracking and organizing signature pages; coordinating closing mechanics; preparing and delivering closing binders; and, assisting with Blue Sky filings. Duties may also include: entity formation; ongoing corporate maintenance; drafting board minutes and maintaining minute books.

Requirements
A Bachelor's degree and 3+ years of experience as a corporate paralegal is required. The successful candidate will have strong organizational and communication skills, be capable of handling multiple responsibilities, and be able to work well in a team oriented environment. Candidates must meet the requirements of the California Business and Professions Code to qualify for this position. EOE
