Job Description

Compliance Support:
Assist in the development and administration of compliance policies and programs, including healthcare compliance, HIPAA and privacy regulations, and Foreign Corrupt Practices Act and anti-corruption.
•Coordinate requests for and approvals of physician and hospital consulting agreements; draft agreements and coordinate distribution and execution; review HIPAA business associate agreements.
•Assist in the performance of compliance assessments and audits of relevant business activities and prepare reports for management; assist in responding to requests for guidance from internal colleagues about compliance requirements.
•Provide assistance for federal and state compliance filings.
•Perform other compliance support activities as requested and specified by the Company’s compliance officer.
Legal Support:
Administer routine SEC/NASDAQ requirements, maintain calendar, prepare and file required SEC filings (Forms 3, 4, 5; Form 144, etc), prepare and file required NASDAQ filings, assist in preparation of 10-K, 10-Q, 8-K
•Assist in administration of Board meeting process, maintain calendar, coordinate agendas, maintain database of resolutions, and prepare consents, delegations, and resolutions
•Assist with annual shareholder meeting, maintain calendar, preparation of proxy statement, management of proxy solicitation and tabulation, organization of meeting logistics
•Review, code and process legal bills from outside counsel; develop and implement reports for monitoring outside legal spending
•Conduct research and resolve routine law questions under the guidance of supervising attorney
•Prepare routine documents, agreements and instruments, such as confidentiality, consulting, purchase and sale contracts
•Maintain contract database
•Handle information requests to and from other company personnel, including research of legal matters and historical information from company records and information from other departments regarding corporate entities, commercial transactions and litigation; review documents and transmit information and documents to outside counsel and company personnel with minimal guidance from supervising attorney
•Prepare minutes and other routine corporate secretary documents for subsidiaries, keep accurate minute books, prepare and file state and local filings (qualifications) for company and subsidiaries
•Coordinate with outside counsel and internal personnel to obtain information and documentation required to maintain U.S. and foreign trademark registrations
•Furnish assistance in financing and business development transactions, including due diligence, review and preparation of schedules
•Furnish litigation support including file set-up and maintenance, document and fact gathering, review and preparation of discovery materials, and coordination of work through outside counsel
•Manage special projects outsourced to consultants or outside counsel
•Undertake other ad hoc projects under supervision of attorney
Job Requirements
Bachelor’s Degree in Legal Studies highly preferred.
