This position assesses routine legal issues and provides legal support for compliance, legal maintenance, governance, transactional activity and special projects.

Essential Duties and Responsibilities include the following. Other duties may be assigned.

  • Works with attorneys and legal team to prepare documents required for domestic and foreign entity formation.
  • Researches and analyzes law sources such as statutes, recorded judicial decisions, legal articles, and legal codes to review and prepare presentations, legal documents such as NDA’s and changes to form commercial contracts, and general legal communications.
  • Supports public company compliance activities and related filings.
  • Manages domestic corporate formalities and interfaces with outside counsel on foreign entity formalities.
  • Works with Corporate Legal Specialist on maintaining entity management database.
  • Assists in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies.
  • Supports transactional activity (due diligence, closing deliveries, preparation of post-closing memorandum and closing books).
  • Assists in litigation management (reporting claims to insurance carrier and third-party administrator, preparing litigation reserves reports and litigation hold memorandums and assistance with responding to subpoenas).
  • Assists with management of real estate and intellectual property portfolio.
  • Assists in management of contract management tools.
  • Assist with preparation of legal quarterly newsletter and legal quarterly report.
  • Supports special projects, as needed.
  • Supervisory Responsibilities


    Education and/or Experience

    Required: Associate's degree (A. A.) or equivalent from two-year college or technical school; and five years related experience and/or training; or equivalent combination of education and experience.

    Preferred: Bachelor's degree (B. A.) from four-year college or university; and one year related experience and/or training; or equivalent combination of education and experience.

    Certificates, Licenses, Registrations

    Paralegal certificate accredited institution (preferred).

    Other Skills and Abilities

    Research skills, analysis of regulations, and understanding of corporate formalities. Experience in a professional office environment utilizing multi-tasking and administrative skill sets. Ability to meet deadlines consistently; excellent attention to detail; problem solver; and strong initiative.

    Computer Skills

    Proficiency in Microsoft Office (Word, Access, Excel, PowerPoint). Internet based research skills.
