Company and Divisional Description: This position will be with AEGON Asset Management, the organization which oversees asset management for many of Transamerica's insurance and operating companies as well as third party clients. The global AEGON Asset Management organization has operations in Europe, the United States and Asia. Primary offices in the United States are located in Cedar Rapids, Iowa and Baltimore, Maryland. AEGON Asset Management and Transamerica are both part of the AEGON NV group of companies. The legal entities that comprise AEGON Asset Management US are AEGON USA Realty Advisors, LLC and AEGON USA Investment Management, LLC. AEGON USA Realty Advisors, LLC manages commercial real estate, commercial mortgage loans and other real estate related investments. AEGONUSA Investment Management, LLC, is a registered investment adviser that manages fixed income assets, including public bonds, private placements, derivatives and alternative investments.
This position will work with, and report to the Associate General Counsel or General Counsel. The Attorney will provide legal services and support to all areas of AEGON USA Investment Management, LLC. The responsibilities of the position are varied but shall include the following:
Providing legal services in support of the asset management business of a SEC registered investment advisor, including working closely with portfolio managers, traders and analysts.
Researching and providing legal advice with regard to the management of the assets of registered investment companies, insurance companies, institutional investors and ERISA clients.
Providing general legal services in support of private placements, alternative investment funds, public trading, problem loans, restructurings and workouts.
Providing general legal support to the compliance, custodial, operations, marketing, client services and information technology areas of the company.
Drafting legal correspondence, memoranda, position papers, statutory or regulatory provisions, contracts, corporate resolutions and certificates.
Researching and providing legal and regulatory counsel regarding new regulatory developments.
Assisting with corporate governance matters.
Interfacing, communicating and working with business and legal professionals within AEGON, law firms and other institutions.
Job Related Qualifications
Knowledge of the US Investment Advisors Act and regulations.
US Investment Company Act knowledge a plus.
ERISA knowledge a plus.

1. Law Degree with demonstrated, superior law school performance required

Minimum 5 years of experience with a registered investment advisor, registered investment company or law firm
