Positions and Tasks
Summary:
Reporting to the Vice President and Deputy General Counsel, this position will lead the design, implementation, and management of a compliance program for a Fortune 500, specialty retailer. This will include working with legal, business units, and internal audit to identify key focus areas, assess current internal controls, policies, and procedures, and develop best practice compliance recommendations and tools to enhance compliance with applicable laws and regulations, including the Federal Sentencing Guidelines.

Job responsibilities:
•Develop, draft, and update policies and procedures related to compliance management oversight in order to effectuate a comprehensive compliance program.
•Provide compliance guidance and training with respect to applicable laws, regulations, and company policy, procedures and practices.
•Work with business units, legal and internal audit to ensure compliance monitoring, internal controls and procedures are effective and in accordance with regulatory requirements.
•Identify potential areas of compliance vulnerability and risk, and developing corrective action plans in such areas.
•Provide advice to business units regarding compliance developments.
•Work with our training and development team to develop and deliver an appropriate multifaceted educational and training program that focuses on key elements of the compliance program.
•Triaging, conducting and supervising internal investigations of alleged misconduct or non-compliance.
•Support, as needed, the Deputy General Counsel in preparation of SEC filings.
Experience/Education Required
Education and experience:
The successful candidate for this position will possess the following:
•Must have a Juris Doctorate from an accredited law school.
•Licensed member of the bar, in good standing in one or more US jursdictions.
•At least 10 years legal experience. Prior substantial experience in one or more compliance areas such as anti-bribery (FCPA, UK Bribery Act), antitrust and/or within a similar compliance legal function is a plus.
•Familiarity with public-company corporate governance law and/or SEC disclosure requirements is a plus.
•In-house corporate experience is preferred; retail corporate experience is a plus.
•Must possess strong verbal, written, and presentation communication skills.
•Must be self-motivated and possess strong interpersonal skills.
•Demonstrated effectiveness operating in complex organizational environments and self-starter qualities that will translate well in a large organization.
•Leadership and disciplinary abilities, with the desire, aptitude and sensitivity to involve multi-functional business leaders in ethics and compliance matters.
•Proven ability to collaborate and work effectively with others in addressing complex issues.
