RMS' Legal Department currently includes four lawyers who are based in the head office in Newark, California, one lawyer based in Hoboken, New Jersey and one lawyer based in London. The team is being reengineered to better support our internal clients, new company initiatives and to improve customer satisfaction with the contracting process. As a result, we place a premium on the ability to work cooperatively, and on being a creative self-starter who, in addition to having solid legal skills and business acumen, can be an active participant in our efforts to continually improve the services we provide. Due to company growth and the commercial focus for the team, we have a position open for an attorney in RMS" Newark, California office to support our corporate operations and our clients in the Americas.
You will report directly to the Vice President and Deputy General Counsel of Legal Services who reports to the Senior Vice President and General Counsel, both of whom are based in California. This role requires that you work closely with the business to advise on a broad range of commercial issues with particular emphasis on drafting and negotiation of commercial contracts, whilst advising the business on legal and commercial risks. You will be responsible for drafting and negotiating complex software licensing and consulting services agreements in support of the company"s sales teams in the Americas. You will also draft and negotiate non-disclosure agreements, asset acquisition, joint venture and partnership agreements, in-bound license agreements and vendor agreements on an as needed basis. You will team with your business clients in contract negotiations, and will be empowered to recommend and implement appropriate positions in your contracts within the company"s guidelines in line with your responsibility to protect the business at all times. In short, you will be asked to apply business acumen along with your legal skills to identify issues, develop and analyze alternative solutions, make recommendations and implement solutions.
Must be an attorney admitted to the State Bar of California with a strong commercial contracts background and six to eight years of experience working at a law firm or in-house (ideally experience working at both); Must have first rate legal skills combined with demonstrable commercial acumen and a pragmatic, business-focused approach; Must have strong experience in drafting and negotiating commercial contracts; Must be a creative, highly-organized, motivated, detail-oriented team player, who is able to multi-task and manage often conflicting priorities; Must be confident working autonomously, as well as in teams, and have the ability to work competently with both internal and external stakeholders.
While prior insurance industry experience, experience with a software company or cloud computing company drafting and negotiating customer-facing software license agreements is a very strong plus, RMS is looking to hire someone who meets our other criteria and who can be trained on licensing. Experience with corporate law, cloud computing or European Data Protection Law is also a plus.
