The Senior Paralegal will report to the Vice President, Legal Affairs who is responsible for addressing and coordinating the support for ICF’
s domestic and international legal needs. The Senior Paralegal will assume a key role in the legal team and interact with senior executives, members of the Board of Directors and staff at all levels of the company. The Senior Paralegal’s principal responsibilities will be: to maintain the books and records of ICF’s domestic and foreign subsidiaries to ensure that the ICF companies remain compliant; to assist in the development and execution of corporate governance and corporate secretarial processes including, for example, preparations for meetings of the Board of Directors and the annual stockholders meeting; and to track and, when appropriate, process litigation matters (including newly filed complaints, subpoenas and discovery requests), including drafting responses thereto under the supervision of the Vice President, Legal Affairs.
Maintain the books and records (including the related officer lists) of ICF’s corporate entities and related state qualifications, exercising independent judgment in order to ensure that all annual reports are filed on a timely basis and responding on a timely basis to inquiries about corporate entities and structure.
Assist Vice President, Legal Affairs in all aspects of the corporate governance and corporate secretarial function such as developing Board meeting agendas, drafting resolutions, distributing Board books through a web-based portal and maintaining Board meeting records.
Under the direction of the Vice President, Legal Affairs, coordinate preparations for the annual meeting of stockholders, including serving as liaison with third parties and ensuring that applicable deadlines are met.
Litigation Matter Management
Maintain litigation matter management system, process subpoenas and/or discovery requests, notify internal insurance function and coordinate outside counsel coverage with insurers as necessary. Draft responses to subpoenas and discovery requests under the supervision of the Vice President, Legal Affairs.
10 years as a paralegal or equivalent experience
5 years experience in corporate governance or managing corporate subsidiaries
5 years of experience in a dynamic environment that required flexibility, multitasking, initiative, attention to detail and discretion
Bachelor’s degree or equivalent
Paralegal certificate preferred
Experience with establishing and maintaining international offices and/or subsidiaries
Experience working with senior executives and members of the Board of Directors of a public company
Experience with public company reporting and annual meeting requirements
Excellent interpersonal skills, verbal and written communication skills for both domestic and international clients and providers
Professional demeanor and manners, and superior interpersonal skills including courtesy, professionalism, and a cooperative attitude
Demonstrated outstanding level of professionalism including ability to exercise good judgment, discretion, tact, and diplomacy
Team player with the ability to work in a dynamic, professional environment
Ability to multi-task in a fast-paced environment, including flexibility to handle multiple priorities
Ability to work with all levels of internal staff, as well as outside clients and vendors
Proficiency in MS Office Applications (Word, PowerPoint, Outlook, Excel) and ability to learn other systems
Strong organizational and analytical capabilities
Ability to learn the organization and its history and to understand the business
Ability to take the initiative to resolve issues independently or to seek guidance on how to resolve them
