The Senior Manager, Business
Affairs is responsible for managing the following responsibilities within SPHE’s
business affairs group including the following:
(1) drafting licensing and distribution
agreements, amendments and promotional bundles for physical disc and digital
media , (2) managing client contract compliance, contract administration and
providing interpretation of agreement terms to customers and internal
departments, (3) working with regional sales managers to approve and negotiate
deal structures and terms, (4) managing territory rights authentication and
local tax documentation requirements, and (5) coordinating with SPE legal group
to provide required documentation for international piracy cases or any other
litigation matters arising from international territories.
Prepare drafts of licensing and distribution agreements,
amendments, term sheets, promotional bundle agreements for physical disc and
digital media (50-80 amendments and 30-50 bundles annually).
Draft affidavits and various legal documents (i.e.,
certificate of rights, inventory retrieval notices, etc).
Track physical and digital distribution contracts/licenses
from Sales to Finance. Identify and distill contractual obligations.
Responsible for establishing and monitoring
adherence to the Drafting Critical Path to ensure timely submission of deal
summaries by sales staff as well as prompt execution of long form
Identify and monitor agreement
events requiring tracking (i.e., deadlines and due dates) and manage the
internal dissemination of this information. Track sub distribution title
release dates to calculate title availability and expirations.
Provide interpretation of agreement
terms/clauses for customers, auditors and internal groups.
Confirm digital and physical format customer
orders are in compliance with agreement terms. Provide worldwide title
copyright documentation as required or requested to enable consistent release
of product (i.e., Certificates or Origin, Copyright Certificates and MPA
Rights Verification and Physical
Research title availability rights and legal
clearance (including music and programming clearance) for physical and digital
Respond to SPE Legal, MPA
and territory requests regarding confirmation of rights. Determine chain of
title for local distribution registration or other anti-piracy purposes.
Provide periodic title expiration reports to
Determine physical asset
availability and legal clearance.
Authorize delivery of masters and physical materials to customers based
on contract compliance and oversee the retrieval, return or destruction of
physical elements and inventory.
Enter contractual terms/data, set-up contract
term alerts, and upload fully-executed agreements into various contract tracking

system term input and executed documents.
Enter confirmation dates for all digital release events.
Design and run standard and ad hoc

Knowledge, Skills & Abilities:
7 years experience in global home entertainment business across physical and
digital media platforms. Licensing and/or distribution business, contract
administration and intellectual property rights research.
Requires (i) excellent
written and verbal communication skills, specifically drafting domestic and
international license/distribution agreements; (ii) extensive knowledge of both
traditional and emerging models for home entertainment distribution; (iii) accurate
attention to detail; (iv) professional and diplomatic demeanor in fast paced
environment; (v) outstanding interpersonal skills; (vi) effective and collaborative
interaction with senior executives and (vii) exceptional organization and
management reporting skills.

senior management of deal structure and any issues requiring review.

(i.e, customs/importation, dubbing restrictions, parallel imports, guilds,
music societies, etc.)
use contract databases and other IT systems for reporting and tracking.
solve – decipher sales structures and figure out how to make them work
logistically in terms of current resources and procedures.
