In this position, you will be responsible for the evaluation, negotiation, execution, implementation and on-going management of a variety of contracts, and manage and coordinate the entire contract lifecycle process including, initiation of requests, corporate review, final approval, archive and status reporting. This individual will act as resource for all company business units and corporate functions.
Manage corporate contract process from request, review, approval, signature and archival.
Negotiate, execute and implement contracts including NDA’s, consulting agreements, sales agreements, inbound licenses, etc., all in accordance with company policies and procedures and applicable laws.
Participate in contract drafting and negotiations with internal clients, external customers, and potential third party business partners.
Develop and maintain centralized filing processes and reports for various types of contracts (file organizing is electronic and paper).
Assist with administrative procedures as needed to facilitate timely and responsible processing of contract documentation.
Prepare regular reports regarding contract status, compliance, modifications/amendments, etc. to review with contracts manager and other management personnel.
Respond to complex inquiries regarding contract terms and conditions, and contract processing requirements and guidelines.
Lead implementation of an automated contract management system, and create, including the management of version control of new contract templates.
Assist with other corporate projects as needed from time to time.
BA/BS degree, Paralegal Certification (preferred).
8+ years of direct experience drafting and negotiating commercial transactional agreements.
In-House Legal Department experience required.
Ability to conduct independent research on a variety of matters and create new agreement templates as needed.
Ability to follow contract guidelines, exception approval procedures, but with independent judgment to exercise individual discretion when appropriate and needed.
Excellent analytical skills and verbal and written communication skills, and ability to interact effectively with clients and operational teams.
Self-motivated, resourceful team player with excellent interpersonal and organizational skills, attention to detail, and ability to perform multiple tasks.
Strong task management experience with proven track record of meeting project deliverables and timelines.
Strong computer skills (Word, Excel, PowerPoint) and prior experience with implementing an automated contract management system (preferred).
