Sr. Counsel, Transactional Law


~ Responsible for legal representation and advice to HMA departments and executives in the primary areas of legal compliance, contractual matters, corporate development, acquisitions and funding, corporate law, conflicts of interest, internal audit, insurance and risk management, benefits and employee relations matters, plus litigation related to the foregoing areas.

Major Responsibilities:

~ Negotiate, draft, and/or review of HMA vendor and inter-company contracts with a value or potential liability of $100,000 or higher. Train, advise and assist the Purchasing Department staff with review and negotiation of HMA contracts with a value or potential liability under $100,000.

~ Internal legal work pertaining to all HMA corporate development and acquisitions, including, but not limited to, subsidiaries and affiliates, new facilities and corporate funding. Review and negotiate documentation, draft such documents as the particular deal may require, including corporate resolutions, legal opinions, and all required agreements.

~ Advise and review procedures for compliance with governing law, including but not limited to licensing requirements, antitrust matters, DMV compliance, ERISA and applicable employment laws. Maintain current knowledge of recent developments in case law and changes to statutes and regulations.

~ Provide legal advice concerning insurance and risk management matters affecting HMA and its assets.

~ As needed, draft corporate minutes and respond to affiliate and state and federal government inquiries.

~ Training and education of employees and management in changing legal requirements, including manage-

ment best practices and procedures regarding benefits, conflicts of interest and employee relations matters.

~ Assist corporate affiliates with legal matters upon request.


~ Authority to negotiate contractual language for the company.

~ Authority to direct activities of assigned support staff.

Required Skills ~ High level of writing and negotiating skills

~ Knowledge of broad spectrum of business and legal issues and specific knowledge of auto distributor related issues

~ Ability to interact effectively with individuals of varied backgrounds and skill levels

~ Ability to research in a thorough and effective manner

~ Effective time management and work ethic

~ Ability to work independently

~ Willingness to undertake substantial and diverse job responsibilities

Required Experience ~ Seven or more years legal experience including law firm and/or in-house position(s)

~ Strong contract, corporate and risk management experience

~ HR and employee benefits experience a plus


~ Must be a high school graduate

~ Bachelors Degree required

~ Juris Doctor Degree required

Certification Required:

~ JD

~ Admission to California bar
