Our banking approach is to provide solutions for our customers that are creative, thoughtful and value added.GENERAL FUNCTION: Assist the CAO and VP-Legal with respect to the bank's legal, regulatory and numerous corporate/business activities (such as insurance), as well a support for the Board of Directors of the Bank and bank holding company. An experienced individual that has a background in Corporate and business law, minimum of 5 years directly involved with or working with Attorneys of and for Publicly traded companies. A candidate that has solid experience across several sub-specialties like Minute preparation, BOD Packets, Public Reporting etc. DUTIES AND RESPONSIBILITIES: Maintain Master calendar for Board/Committee meetings Attend as needed BOD and committee meetings in support of VP-Legal and CAO; prepare draft minutes and track completion/execution of minutes; maintain minute binders current Assist in drafting resolutions, waivers, minutes, approvals of action without meeting and related documents Prepare and file appropriate documents corresponding to an issuance of new stock or a transfer of stock ownership Draft corporate resolutions and other documents involved with corporate dividends, stock splits, purchasing shares, liquidations and distributions in general shares Prepare summary term sheets of leasing agreements; track branch insurance coverages Obtain information and file documentation necessary to qualify corporation to transact business in foreign states Maintain corporate records and details of stock transfers Filing and reporting Adhere to confidentiality policy, code of ethics and all other bank policies/procedures, as well as all other consumer compliance policies/procedures.
MINIMUM KNOWLEDGE, SKILLS, AND ABILITIES REQUIRED: Associate degree (minimum) with paralegal certificate from accredited school; BA degree preferred w/paralegal certificate. At least 5 yrs. Corporate/real estate experience in mid to large law firm (experience in corporate in house legal department is a plus) Highly skilled in Word, Excel, Powerpoint, etc. Familiarity with federal, state, and county forms regarding corporations and partnerships and the filing procedures. Stenographic skills and banking expertise highly desirable WORKING CONDITIONS: Normal office environment with little exposure to dust, noise, temperature and the like. Extended viewing of CRT screen.
