The Director of Compliance Bank and Broker Dealer is primarily responsible for providing reasonable assurance that the activities of BOSC, Inc., BOSC Agency, Inc and BOKF N.A.’s MSD/GFIN Dealer (“Dealers”) are in compliance with laws, regulations, internal policies. This involves: planning of the overall compliance process; review of fieldwork done by business line and subordinate compliance personnel, and communication and resolution of findings for compliance reviews of Dealers. Coordinates work with external auditors and examiners; analyzes the compliance approach and manages both human and financial resources to ensure that risks for individual areas within Dealers are adequately identified and addressed. Proactively digests regulatory and industry developments that could impact the activities of Dealers, and implements these along with current regulations as needed.

Maintains, implements, and assesses programs designed to ensure compliance with laws and regulations, internal policies and procedures as they affect BOSC, Inc., BOSC Agency, Inc and BOKF N.A.’s MSD/GFIN Dealer. Develops policies and procedures; supervises compliance review work in accordance with the developed programs; communicates planning decisions, expectations and results to BOSC roll-up management and the BOK Financial Corporate Governance function.
Supervises compliance officers and programs for each area of the Bank Dealer, BOSC, and BOSC Agency, Inc., based on risk assessment, prior reviews and audits, laws and regulations, management and staff discussions, and changes in these areas. Supervises compliance review work in accordance with developed plans; communicates planning decisions and expectations to Executive and Wealth Management Division management as well as the BOK Financial Corporate Governance function. Helps resolve key compliance issues with Executive and Senior Management; prepares status and summary reports.
Directs and supervises staff members; determines work priorities and assignments; interviews and makes final hiring decisions; evaluates, orients, counsels, and trains subordinate personnel and recommends associated personnel actions.
Serves as Chief Compliance officer for BOSC, Inc., BOSC Agency, Inc. and the BOKF N.A. MSD and GFIN dealer, assuming all liabilities associated with those positions. Interacts and coordinates with broker and bank dealer regulators
Provides senior management-level Sarbanes-Oxley certification to the effectiveness of BOSC roll-up compliance processes; identifies, develops, and recommends revisions of internal standards, policies, operating procedures, and new programs to improve efficiency and effectiveness of compliance activities at BOSC roll up.
Coordinates BOSC roll-up utilization of general counsel; ensure counsel involvement where needed.
Performs research, participates in training, and reads literature in order to become more knowledgeable about current trust and compliance issues, and performs other administrative tasks, with particular focus on implementing new or modified rules and regulations.
Serves as subject matter expert on the Risk Management Committee for FINRA, MSRB, GSA state insurance agencies and other regulatory bodies material to BOSC roll up activities.
Defines annual objectives; develops operating plans, including budgets and manpower requirements, in compliance with regulations, BOSC roll-up priorities, and high risk concerns; reviews annual Compliance plans for the individual entities within the Division, including assessing the risk associated with each.

This level of knowledge is normally acquired through a bachelor’s degree and 10+ years related broker and bank dealer compliance or legal experience in a financial institution or serving as a broker dealer regulator. An additional 4+ years in a supervisory/managerial role is preferred.
Extensive knowledge/understanding of securities, bank dealer and federal/state regulatory matters
Professional certification required: Series 7, 24, 27, 53,63 and Series 65 or Series 66
