This position will be responsible for managing databases, administering board support functions, preparing routine corporate governance documentation and handling other cross-functional legal administration duties from time to time. This position supports origination and ongoing legal administration of initiatives within a legal department that manages traditional corporate legal, risk management and audit functions. The role will from time to time combine regulatory and transactional work.
ESSENTIAL DUTIES AND RESPONSIBILITIES
Maintains legal files, office files and records in accordance with internal procedures.
Responds to routine requests for information and refers more complex requests to appropriate staff members.
Prepares routine letters and memoranda from specific instructions.
Assembles relevant data, and compiles information and reports as directed.
Prepare information and gather necessary documents to respond to subpoenas and discovery requests in a timely manner.
Conduct telephone and personal interviews.
Investigate facts relevant to matters in which the Legal Department is involved.
Create detailed legal and management reports, analyses and presentations by using computer programs ( e.g. , Word, PowerPoint, Excel & Visio) to create charts, graphs and slides as needed.
Assist in the implementation of programs and projects designed to ensure the organization’s continued compliance with applicable laws and regulations.
Manage, track and report on the status of legal and commercial issues from other departments to ensure these issues and projects are resolved in timely fashion.
Create and maintain records in matter management systems such as eCounsel or Serengeti.
Participate in and facilitate the preparation, execution and administration of agreements, contracts and other legal documents.
Prepare routine and confidential letters, legal and commercial research briefs, reports and memoranda from rough drafts or written notes, ensuring accurate grammar, spelling and business formats.
Perform other duties as assigned.
Associate’s degree or a four-year college degree with commensurate experience.
4 or more years of legal administration experience such as paralegal or legal analyst work.
Candidates should have at least 4 or more years of a mix of corporate governance, transactional and board support experience.
Demonstrates excellent written and oral communication skills
Demonstrates initiative and ability to manage projects from start to completion
Operates well independently and without close supervision
Good organizational and follow-up skills
Excellent attention to detail
Remains calm and focused in pressure situations
Ability to interact with a wide variety of employees from other departments as well as outside support and leadership professionals
Ability to maintain confidentiality and assist on sensitive matters with discretion
Ability to adapt to a changing environment and work under tight deadlines
Successfully sets priorities, performs tasks in an orderly fashion and meets deadlines
Strong team orientation
Experience with budget preparation desirable.
