POSITION SUMMARY

The Corporate Attorney reports to the company's COO. The responsibility of the corporate attorney will be leading corporate strategic and tactical legal initiatives. This position will often act as General Counsel providing senior management with effective advice on company strategies and their implementation, manage the legal function, and obtain and oversee the work of outside counsel.
The attorney will be directly involved in complex business transactions in negotiating critical contracts. This position directs the risk management activities of the company including broker/underwriter selection, contract negotiation, claims settlement and lender approvals as related to insured losses.

ESSENTIAL DUTIES AND RESPONSIBILITIES

Participates in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters

Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures real estate contracts, and all legal matters concern franchise services

Judges the merits of court cases filed against or on behalf of the company, work with the appropriate executive(s) to define a strategic defense and approve settlements of disputes where warranted
Assumes ultimate responsibility for ensuring that Value Place affiliated companies conduct their business in compliance with applicable laws and regulations
Directs department human resources actions, selection of staff, and of work assignments and accountability of department personnel, conducts performance evaluations with each staff member

Selection, retention, management and evaluation of all outside counsel

Advice on legal aspects of the company's financing. Including assessing and advising on
current and future business structures and legal entities
Acts as the risk manager for the company ensures that all corporate assets are properly insured, and that claims are settled per terms of the contract

Reviews or approves contracts or agreements with suppliers, distributors, federal or state agencies, or other organizational entities.

Evaluates department structure and roles and responsibilities for continual improvement, efficiency or effectiveness as well as providing individuals with professional and personal growth

Accomplishes all tasks as appropriately assigned or requested

QUALIFICATIONS

The successful candidate should hold a law degree and be a member of the bar admitted to practice in Kansas.

Minimum of six years of experience in a law firm environment Ability to communicate effectively with a variety of contacts, including outside attorneys, senior management, and business associates
Broad, overview experience in contract law including real estate law, and franchising law
Experience dealing with the insurance companies, state and federal government, and lending institutions
Experience working on matters of corporate governance and with a board of directors is required
Experience managing internal support staff as well as experience
with cost effective management of outside legal resources
