Job Description: Performs consultation and advisory work and carries out the legal processes necessary to effect the rights, privileges, and obligations of the corporation. Responsibilities or functions include, but are not limited to, the following: prepares and reviews various legal instruments and documents, such as contracts, leases, licenses, purchases, sales, real estate, etc.'' acts as agent of the organization in its transactions'' examines materials for legal implications'' advises officials of proposed legislation which might affect the organization'', advises on intellectual property matters, whether to initiate or defend law suits'' conducts pretrial preparations'' defends the organization in lawsuits'' advises officials on tax matters, government regulations, contract negotiation, arbitration, federal and state labor legislation and/or legal rights. Requires extensive theoretical, practical, and industry knowledge. Applies and/or develops highly advanced technologies, principles, and concepts.
In this position, with supervision from a more senior attorney or manager, you will provide primary legal support for various Technology Manufacturing Group (TMG) organizations with primary focus on Intel's world wide supply chain. You will be required to work with cross-functional and cross-Geo teams on the development, maintenance and revisions to various agreements for our many supply line management groups, including the licensing and ownership to intellectual property. You will provide first line legal support to one or more TMG procurement organizations. Your responsibilities will include, but are not limited to,:
o Counsel assigned Director and Director-1 level managers in TMG organizations on strategic and tactical positions
o Provide contract analysis and advice on key transactions
o Work closely with business representatives responsible for Intels worldwide supply line business and coordinate with cross org account teams
o Develop course content and conduct training of clients on legal positions, transactional issues, IP protection and general legal topics
o Reviews with and assists IP Counsel in the analysis and development of proposed IP positions
o Initiate or directly participate in both legal and client driven projects to address strategic TMG issues
o Review and assist management with the handling of any corporate or commercial claims
You should possess J.D. and be admitted to a U.S. State bar or equivalent. You should have a minimum of five to eight years of experience in general business counseling including commercial sales/purchasing transactions and Intellectual Property (IP) licensing. Additional qualifications include:
o Superior counseling skills with emphasis on practical solutions to business needs, strong drafting and negotiation skills and excellent teaming ability
o Excellent communication skills
o Strong working knowledge of commercial business terms including UCC Article 2 and related commercial statutes, antitrust, bankruptcy, IP escrows, etc.
o Ability to work independently without significant supervision in support of client needs
o Sound understanding of Intellectual Property (IP) licensing
o Experience in litigation, either commercial or intellectual property
o Experience in technology, semiconductor, or semiconductor equipment industry a plus.
