Intermolecular is seeking a talented lawyer to join the Legal department’s corporate team as Corporate Counsel, Governance & SEC to provide legal services and manage legal matters related to corporate governance and securities law. You must have the ability to operate independently in a fast-paced environment and work proactively with various teams across the organization, including Finance, Corporate Development, Human Resources, Investor Relations and Corporate Communications. This is a full-time position based in San Jose and will report to the General Counsel. You must have thorough knowledge of securities law, with experience in preparing proxy statements and ’34 Act periodic reports, Section 16 compliance, registration statements, corporate governance, and NASDAQ listing requirements.
Principal Accountabilities & Authorities -
Provide advice and support company-wide on a variety of legal issues on a daily basis in a timely and effective manner.
Responsible for drafting filings (including 1934 Act filings) and understanding requirements of the SEC and other applicable corporate compliance regulations.
Attend to securities law compliance matters.
Assist in oversight and management of domestic corporate entities
Assist in corporate governance matters, including implementation and oversight of corporate policies
Coordinate with and manage outside domestic and international corporate counsel
Serve as counsel for M&A transactions and provide support on major transactions, including coordination of due diligence and integration
Assist on other matters as needed
J.D. degree, exceptional academic credentials and state bar membership (CA)
5+ years of relevant legal experience. In-house experience a plus
Significant experience working with a public company, including drafting a variety of SEC filings.
Broad corporate and transactional experience with both private and public companies.
Emphasis on M&A, SEC and regulatory compliance, corporate governance and equity plans
Flexibility and willingness to work extended hours when necessary to complete projects in a timely fashion
Excellent judgment, organizational skills and strategic thinking, superior work product, and ability to work with cross-functional teams
Talent for thinking creatively in confronting new issues and pursuing novel approaches to old problems
Ability to work under pressure, meet deadlines, and exercise sound business judgment with critical thinking skills and high ethical standards.
