Job Description

As a member of the Transaction Services practice, you will help clients navigate through complicated transactions and events, from evaluation through integration, in a multifaceted business environment. PwC helps clients negotiate with confidence. Some of the world's most prestigious companies rely on our buy-and-sell side due diligence capabilities and turn to us for advice on financial reporting, valuation and tax issues. We also provide advice and project management for capital raising events such as initial public offerings, secondary listings and private placements. For companies in distressed situations, we advise on crisis avoidance, financial and operational restructuring and bankruptcy. Clients rely on PwC to help them make informed and empowered decisions to invest, divest, raise capital or reorganize. PwC’s Transaction Services - Capital Markets Accounting & Advisory Services (CMAAS) practice advises our clients in today's uncertain and complex accounting and financial reporting environment, providing our clients the ability to enhance the quality of their financial reporting. Our customized solutions-oriented approach is tailored to company-specific situations allowing for a thorough approach in anticipating the needs of management, auditors, investors, and regulators.
The CMAAS practice within TS offers clients an integrated approach and practical, customized solutions to complex financial reporting and accounting issues faced by corporate and private equity firms as they navigate the capital markets. CMAAS advises clients on complex accounting and financial reporting matters arising from IPOs, business combinations, private placements, financing, carve-out and spin-off transactions, SEC filings and IFRS/US GAAP conversions and embedding. The practice is known for advising clients on structures that are designed to reflect the spirit and intent of the applicable financial reporting principles, while at the same time addressing how tax, corporate finance and regulatory concerns impact the transaction, leveraging deep knowledge of both US and global exchanges and regulatory processes. Technical accounting focus areas include financial instruments, business combinations/ purchase price allocations, consolidations, leasing, fair-value assessments, convertible securities, derivatives & hedging, stock-based compensation and revenue recognition in both US GAAP and IFRS.

Position/Program Requirements

Knowledge Preferred:
Demonstrates extensive knowledge of, and/or a proven record of success with performing in a role as a manager on complex accounting- and financial reporting-related project teams within, a professional services environment providing core assurance or auditing services or transaction-related advisement to external clients.
Demonstrates extensive knowledge of, and/or a proven record of success in a project engagement role related to, advising multi-national, publicly-traded companies and private equity firms on a broad range of technical accounting, financial reporting, and capital markets accounting topics, especially the following areas within a client services environment:
  • IPOs;
  • Carve-outs and/or spin-offs;
  • Business combinations and/or purchase price allocations;
  • Private placements;
  • Debt offerings
Demonstrates extensive knowledge of US GAAP, SEC reporting, IFRS and related financial reporting concepts and rules to resolve client issues related to:
  • Financial instruments;
  • Leasing;
  • Consolidations;
  • IFRS conversions;
  • Fair value assessments;
  • Convertible securities;
  • Derivatives & hedging;
  • Stock-based compensation;
  • Revenue recognition; and/or
  • Business combination regulations.
Skills Preferred:
Demonstrates extensive abilities and a proven track record of success managing efforts with identifying and addressing client needs: building,maintaining, and utilizing networks of client relationships and community involvement; communicating value prpositions; managing resource requirements, project workflow, budgets, billing, collection;maintaining project economics while maintaing flexibility for unanticipated issues; and preparing complex written and verbal materials.
Demonstrates extensive abilities and/or a proven record of success in a role managing a wide range of Capital Markets accounting and advisory-related projects, consistently demonstrating creative thinking and individual initiative.
Demonstrates extensive abilities and a proven track record of success, as a team leader: supervising teams to create an atmosphere of trust and seeking diverse views to encourage improvement and innovation; contributing to a positive working environment by building solid relationships with team members; and participating in various staff recruitment and retention activities.
Demonstrates team leadership through creating a positive working environment while meeting client expectations; coaching staff including providing meaningful written and verbal feedback in a timely manner; keeping leadership informed of progress and issues; answering questions and providing direction to less-experienced staff.
Demonstrates a proven thorough ability to write and communicate cogently to clients and industry audiences, including jounal articles,practice methodologies and tools, and writing and presenting whitepapers.
Demonstrates a proven track record of success and extensive ability to maintain relationships with key executives and a network of professional organizations or affiliations.

Minimum Degree(s) and Certification(s) Required:
Bachelor's degree in Accounting, as well as having obtained an active CPA license or equivalent (CA)

Additional requirements:
Demonstrates a willingness to conduct business travel, approximately 40-60% of the time.
