Our client, a leading media publishing company, is seeking a Corporate and Securities Attorney to perform the following job responsibilities:
Play a key role in drafting and advising on filings with the Securities and Exchange Commission, including the Companys annual and quarterly reports on Forms 10-K and 10-Q, periodic reports on Form 8-K, and proxy statement. Review and comment on other Company disclosures, including press releases, securities analysts communications and presentations.
Provide legal advice to ensure compliance with SEC and New York Stock Exchange requirements, as well as any applicable requirements under the Sarbanes-Oxley Act and the Dodd-Frank Act.
Provide legal advice to ensure compliance with corporate and securities laws in the area of executive and director compensation, including portions of the proxy statement, as well as compliance with Section 162(m) of the Internal Revenue Code and with securities law requirements of the Companys equity compensation plans.
Provide support to the Senior Counsel in charge of disclosure and the Corporate Secretary on matters relating to the board of directors and senior management, including the annual meeting of stockholders.
Assist with coverage of general corporate and commercial matters, including the review of contracts.
