The Supply Chain Contracts Counsel will be responsible for providing general legal and corporate support to Ascension Health Supply Chain, general legal support and services to Ascension Health, provide legal support to Ascension Health Management, assist with oversight and coordination regarding the use of outside legal counsel and provide overall support to the Senior Vice President, Legal Services & General Counsel and Vice President, Legal Services & Associate General Counsel.

Responsibilities:
  • Perform all of the duties and responsibilities of this position in a manner which is consistent with the Mission, Vision and Values of Ascension Health.
  • Promotes and exemplifies and supports the Ascension Health Core Values of Service of the Poor, Reverence, Integrity, Wisdom, Creativity, and Dedication.
  • Provide legal services and support for the operations and management of Ascension Health-IS and Symphony, including IT contract drafting and negotiation, for all Health Ministries and the System Office, working directly with the Chief Information Officer and Senior Vice President, Program Executive.
  • Provide legal services and support for the operations and management of Ascension Health Supply Chain, working directly with the Chief Supply Chain Officer.
  • Provide legal support to Senior Vice President, Legal Services & General Counsel and Vice President, Legal Services & Associate General Counsel.
  • Assist with the in-house legal function for Ascension Health in cooperation with the General Counsel and Associate General Counsel, including the provision of legal services and assist in managing outside legal relationships.
  • Assist in the legal review of projects that are submitted to Ascension Health for approval.
  • Serve as a member of various Ascension Health work groups, committees and teams, as appropriate, where the strategic or legal advice and counsel of a lawyer are appropriate.
  • Draft, review and negotiate System-wide Supply Chain and IT contracts and System Office contracts.
  • Assist in the development of communications methods to share legal knowledge throughout the System.

Qualifications:
  • Excellence in academic achievement, with a J.D. or a L.L.M. awarded by an ABA accredited law school.
  • A minimum of 5-7 years legal experience in drafting, reviewing and negotiating contracts, preferably for organizations in the healthcare industry.
  • Experience in:
    • Technology transactions, including drafting, reviewing, negotiating and advising on a variety of transactions such as software license and maintenance agreements, technology services and consulting agreements, SaaS agreements and SLA agreements; or
    • Commercial transactions, including drafting, reviewing, negotiating and advising on sophisticated and complex contracts, such as services agreements, supply agreements and GPO agreements.
  • Expertise and the ability to provide advice and counsel on legal issues of health care organizations, including IT and supply contracting and negotiations and operations.
  • A team player, with the willingness and the ability to help guide Ascension Health Management in addressing the multiple challenges and opportunities associated with the changing nature of healthcare delivery.
  • Highly effective written and verbal communication skills; strong negotiation skills and able to successfully prioritize, multi-task and handle multiple matters and assignments simultaneously.
  • A team player, a relationship builder; striving for excellence; comfortable with ambiguity; a service orientation; and an enabler and facilitator
  • Experience working on a broad spectrum of legal matters
