The Associate Counsel – Real Estate serves as legal counsel with respect to the company’s real estate transactions (leasing, development, redevelopment, and/or financial). The Associate Counsel – Real Estate will be responsible for assisting in the negotiation, preparation and execution of transaction documents relating to the company’s real estate activities. This role will also provide the Chief Legal Officer and management with legal advice on legal issues associated with real estate matters. As a member of the company’s legal department, the Associate Counsel – Real Estate is also available to perform other duties as may be assigned by the Chief Legal Officer.

ESSENTIAL DUTIES AND RESPONSIBILITIES

The essential duties and responsibilities of the position of Associate Counsel – Real Estate include the following all within the scope of the company’s real estate activities and special projects. To serve as or assist as a legal advisor and counselor on leasing transactions involving the company’s properties, new development projects, joint ventures and redevelopments.

To engender the assistance of paralegals and administrative staff assigned by the Chief Legal Officer and/or the Senior Counsel – Department Administration.

Under the direction of the Chief Legal Officer and/or the Senior Counsel – Department Administration, to analyze, provide legal advice and assist in a variety of special projects including specific issue review and research regarding lease provisions, REAs, operational issues and impacts on leasing and other lease-related matters.

To establish and maintain strong and effective working relationships with the Chief Legal Officer, members of the company’s legal department, administrative staff and outside counsel approved and designated by the Chief Legal Officer.

To establish and maintain strong and effective working relationships with the members of the company’s business teams.

To assist in the design, negotiation, drafting, interpretation and advising of management with respect to legal provisions in contracts, transactional work, litigation matters.

To oversee and supervise the design, negotiation, drafting, interpretation and advising of management with respect to legal provisions in transaction documents involving the company’s agreements within the real estate arena.

To assist in the management and coordination of the negotiation, preparation, execution and delivery of all relevant agreements and related documents and related deliverables so as to enable the company to process transactions within agreed timetables.

To assist and provide legal advice and analysis in other areas of the company’s business and/or perform other duties as may be assigned by the Chief Legal Officer.

QUALIFICATIONS: Juris Doctorate (JD) with not less than five years commercial real estate experience, ideally within retail.

SKILLS: Ability to communicate effectively with a variety of contacts including senior management, outside attorneys, and business associates. Computer proficiency required. Willingness and ability to accept high volume of work as well as rapidly learn and integrate organizational structures. Demonstrable strong interpersonal skills. Adherence to standards of ethics and applicable rules of professional conduct for attorneys is required at all times over period of employment.
