Senior Counsel III - BSA / AML The candidate will work closely with the Chief BSA/AML Compliance Officer and have constant interface with regulators while providing counsel on the application of BSA/AML laws to new and existing Financial products/services. Assist in AML reviews related to M&A activity. Monitor new and revised BSA/AML laws/regulations, including changes to OFAC sanctions programs, provide comments as appropriate, and counsel on implementation and impact of same. Assist in updating and maintaining BSA/AML policies and procedures. Assist in development of policies, procedures and solutions to address emerging risks by employing a preventative style while evaluating the business and current programs/operations. Assist in responding to regulatory inquiries. Provide counsel with respect to particular customer matters or transactions that present AML Compliance or related reputation risk issues. Provide support for AML issues arising out of increased International activity, including at least a basic understanding of AML regimes in applicable countries. Assist with AML regulatory exams and meetings. Retain and manage appropriate outside counsel and coordinate with them as needed. Review and update company's standard AML provisions in loan documents. Provide support relative to changes to AML loan provisions requested by customers or to syndicated transactions in which company is not the lead Bank. Develop AML language for vendor and other customer agreements and negotiate changes to same. Review requests from other domestic and foreign Financial institutions for certifications about company's AML Compliance. Coordinate with company line of business lawyers on issues specific to their business. Work with Risk/Compliance across organization as well as with business leaders. Effectively interact with other attorneys and line of business managers in receiving and transmitting information. Use knowledge of legislation, regulations and case law affecting practice area in order to provide practical Legal advice, develop policies and practices and ensure regulatory and Legal Compliance. Provide guidance and oversight to less experienced attorneys, Paralegals and Administrative Staff. Represent company effectively in interaction with external counsel for company and with counsel for representing other parties.

The candidate should have a J.D. degree from an accredited institution. Must have 12+ years of experience in Legal field. Should have extensive knowledge of anti-money laundering and terrorist financing laws, including the Bank Secrecy Act and USA Patriot Act; the law administered by the US Treasury Department/Office of Foreign Assets Control; US Treasury Department/Financial Crimes Enforcement Network; US State Department/Directorate of Defense Trade Controls; US Commerce Department/Bureau of Industry and Security; and the US Internal Revenue Services, including FBAR (Foreign Bank Account Reporting). Experience/knowledge of AML/BSA Laws in UK and Canada preferred.
