The incumbent will have front-line responsibility for providing general corporate legal services and advice to one or more of the organization’s primary business units in North America. Incumbent will serve as the department’s general corporate primary point of contact for one or more of these business units. Incumbent’s background, experience, demeanor, and input (including input from the business) will be among the key factors in determining which business unit(s) Incumbent will represent. Incumbent will be a member of the key leadership team for the business unit represented. Among Incumbent’s responsibilities will be to advise the business in drafting and negotiating commercial contracts (including customer and M&A agreements) with the support of the organization’s Commercial Contracts Management (“CCM”) Group (which reports to the Appointing Manager). Depending on Incumbent’s background and training, he/she will also serve as a subject matter expert across all business units in at least one of the following areas relating to the logistics industry: commercial real-estate, procurement, risk management, bankruptcy, intellectual property, or regulatory. Incumbent will partner with department subject matter experts on matters involving litigation, employment and other areas to assure the legal interests of the business are protected.
Detailed Job Description
· Represent the Company’s interest in drafting and negotiating commercial contracts with the support of CCM as well as procurement, real property, M&A, and other contracts to minimize corporate risk and maximize corporate opportunities.
· Become a trusted advisor to the business unit(s) with whom they work and serve as the primary legal support for day-to-day general corporate legal matters.
· Reduce external counsel expenditures where appropriate, particularly as regards labor and real-property matters.
· Assist in implementing Group policies among the Supply Chain America ’s business units on corporate governance and other matters on a consistent basis. Assist in organizing corporate governance matters, serve as an additional resource on M&A matters, and serve as appropriate subject matter expert as part of the Americas GBS Legal team.
