The Commercial Contract Specialist will support business operations channels in the drafting and negotiation of complex and routine commercial (and some federal government) contract terms and conditions for technology services and software transactions.

Essential duties and responsibilities include the following. Other duties may be assigned. To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed are representative of the knowledge, skill and ability required.

The Commercial Contract Specialist will be responsible for:
Drafting, reviewing and directly negotiating (with coordination and appraisal with management) the following types of transactional documents: software license agreements, NDAs, and services/goods agreements (including amendments and change orders) and supporting documentation that are predominantly commercial in nature and that are often not derived from standard forms

Identifying and advising as to key risks in documents under review and negotiation and helping to manage the risks contractually

Reviewing, commenting and advising internally on contractual provisions for responses to RFPs and RFQs, including participation in proposal and bid reviews and in-process reviews

Interfacing with points of contact in business, engineering and operations channels as well as customers as part of the contracting process

Managing on-going contract obligations, contract renewals, updates and statements of work, including supporting documentation such as purchase orders and processing and maintaining files and records in accordance with internal processes

Drafting clauses, templates and policy provisions in support of the Commercial function

Providing services and internal support in a manner that is both responsible and adds value to transactions

Qualifications and experience

Basic:
Must have a Bachelor's degree and a minimum of 5 years of experience (preferably in-house) negotiating, drafting and advising on a broad range of contracts and work scopes with experience negotiating commercial contracts representing business interests other than government or government contractors

OR Master's degree and a minimum of 3 years of experience (preferably in-house) negotiating, drafting and advising on a broad range of contracts and work scopes with experience negotiating commercial contracts representing business interests other than government or government contractors

Experience and demonstrable skills in negotiating and advising a business on a broad range of contracts will be required.

Demonstrated knowledge of contract law and principles and an ability to resolve complex contractual problems associated with sophisticated transactional materials.

Relocation benefits are not available for this position

Preferred:
Demonstrated knowledge of contract laws and principles, including indemnities and liabilities, and the ability to resolve complex contractual issues and to interpret sophisticated transactional materials

Working knowledge of intellectual property law, export control and compliance laws

Strong writing skills, including the ability to draft clauses in the absence of templates

Familiarity with software contracts and risk mitigation

Strong communications skills including the ability to interface constructively and maintain effective working relationships with internally and externally

Ability to work and manage multiple transactions proactively in a fast-paced, collaborative environment with tight deadlines while maintaining high standards and attention to detail

Sound business judgment coupled with analytical ability necessary to achieve effective solutions
