The core services team advises and counsels on matters related to technology, social media, sales and marketing, promotions, loyalty programs, brands, distribution, sourcing, innovation and new product development, IP licensing, confidentiality, and strategic partnerships. The team works closely with other groups within the legal department including the privacy, trademarks, M&A and litigation teams and the international divisions.

Job Description

Position Summary:
The Director & Associate General Counsel – Technology & Distribution provides legal support for Starwood Hotels & Resorts’ centrally-delivered system services (both globally and divisionally) including sales, Brand Management, Reservations, Loyalty Program, Marketing Partnerships, technology and Revenue Management. This position is designed to provide guidance across a broad range of business activities by leveraging expertise in negotiation of complex contracts, structuring commercial relationships and IP licensing.

Key Responsibilities:
  • 20%: Technology: Negotiate software, hardware, development, mobile, telecommunication, antenna and other technology related agreements; advise on Internet, social media, emerging technologies, cloud computing, open source, and other technology-related issues.
  • 20%: Distribution, Loyalty & Partnerships: Negotiate contracts and partnerships related to the Starwood Preferred Guest (SPG) Loyalty program, Starwood websites, mobile applications, social media channels, credit cards, gift cards, music, sports, airlines and other key initiatives; advise and support initiatives and help launch new services and features worldwide.
  • 20%: Sales: Negotiate agreements across all sales segments (including group sales and online travel agencies (e.g., Expedia)_on behalf of the global and North America sales teams; create sales templates and provide training on local sales contracting; advise divisional teams, metro market teams, and properties on sales issues including contract disputes, technology, and reporting.
  • 15%: Marketing & Brands: Advise global, divisional, field marketing and brand teams on day-to-day legal/business decisions and negotiate contracts including PR agreements, promotion agreements, licensing agreements, consulting agreements and brand initiative agreements.
  • 15%: Supply Chain: Negotiate complex agreements for supplies, equipment, products, food & beverage, training and HR services; advise and train the supply chain team on standard, regional, and local purchasing agreements.
  • 10%: Intellectual Property: Negotiate license, photography, music, and other creative services agreements; advise and train business teams on copyright, trade secret, and patent issues; assist litigation team with patent and technology related litigations.
Requirements

  • J.D. and Bar Admission
  • 5-7 years legal practice experience, including several years at a major law firm. In-house experience in addition to legal practice experience is an asset.
  • Expertise and experience supporting social media, technology and systems, and fluency with the related IP concepts and best practices (including copyright, trade secret, and confidentiality)
  • Skills in structuring and negotiation of complex commercial contracts, including strategic alliances, global customer and supplier agreements
  • Ability to manage and inspire clients to ensure compliance and best practices
  • Ability to provide effective thought leadership for cross-functional initiatives
