South Florida based biotechnology company seeks an in-house corporate counsel. The Counsel is a generalist working with a wide range of general corporate counseling, including organizational, intellectual property, litigation, employment, privacy and regulatory matters. There will be a heavy emphasis on reviewing, drafting and negotiating agreements involving healthcare and medical technology transactions.Responsibilities: -Drafts, reviews and negotiates various vendor contracts, IT contracts, manufacturing and quality agreements, consulting agreements, advertising, and PR agency agreements. -Provides legal advice, assistance and training in relation to business activities in order to keep the business within the limits prescribed by law and corporate policy and protect the Company from other legal risks.

  • Manages legal compliance function by collaborating with medical, regulatory, clinical and compliance personnel to ensure that the Company does not violate applicable laws, regulations or requirements. -Manages outside counsel on periodic corporate, litigation and employment matters. -Represents the Company in litigation and other dispute resolution proceedings and before various governmental agencies. -Compliance, including general corporate compliance, policy and program development, privacy, trade compliance-Transactional, including in- and out-licensing, sales agreements with customer groups and the government, consulting agreements, vendor agreements, business development and MA-Experience with the Sunshine Act a plusQualifications: The candidate must possess a J.D.
from an accredited law school and be a member in good standing of the Florida bar. 4 6 years of relevant experience in nationally recognized FDA / Life Sciences practice or in a medical device or biotechnology company. Familiarity with HIPAA, HITECH and FDA regulatory regimes a plus. Deal/negotiation experience is essential.

Strong knowledge of commercial contracts and business law. Excellent oral and written communication skills. Outstanding organizational, analytical and drafting skills, with attention to detail. Ability to follow and interpret legal trends Knowledge of Microsoft Word Excel and PowerPoint
